Agreement

These Terms of Service ("Terms") govern your access to and use of the public website operated by Nazario Global Holdings Inc., a corporation organized under the laws of the State of Wyoming ("NGH," "we," "us," or "our") (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Permitted use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to misuse the Site, including by attempting to interfere with its operation, probing or testing vulnerabilities without authorization, or using automated means to access the Site in a way that imposes an unreasonable load on our systems.

No offer or professional advice

The Site is for general informational purposes. Nothing on the Site constitutes an offer to sell or buy securities, an investment recommendation, legal advice, tax advice, or other professional advice. Past performance or descriptions of our approach do not guarantee future results. You are solely responsible for decisions you make after reviewing Site content.

Communications and submissions

If you contact us through the Site, you represent that the information you provide is accurate to the best of your knowledge. Submitting a message does not create a business, advisory, or fiduciary relationship unless we expressly agree in writing. We are under no obligation to respond to every inquiry or to enter into any transaction.

Intellectual property

The Site and its content (including text, graphics, logos, and layout) are owned by NGH or our licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Site or its content without our prior written consent, except as allowed by law for limited personal, non-commercial viewing.

Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NGH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US TO USE THE SITE IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER; THE SITE IS PROVIDED FREE OF CHARGE, SO IN MANY CASES OUR LIABILITY WILL BE LIMITED TO $100.

Indemnity

You agree to defend, indemnify, and hold harmless NGH and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or violation of these Terms, except to the extent caused by our willful misconduct.

Governing law

These Terms are governed by the laws of the United States and the State of Wyoming, without regard to conflict-of-law principles, except where preempted by federal law. Subject to applicable law, exclusive jurisdiction for any dispute arising out of these Terms or the Site shall be the state courts of Wyoming and the United States District Court for the District of Wyoming, and you consent to personal jurisdiction in those courts.

Changes

We may modify these Terms at any time. We will update the "Last updated" date when we do. Your continued use of the Site after changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
